It then refers to Schedule 1 (photo 2) fees associated with an Other Sale Transaction Fee. Photo 2: Gives us a general idea on the 15 million number and how that fee came to be. If we look at the 1 billion dollar line the fee would be 1.30%. If they were to sell only Buy Buy Baby for 1 billion, Lazards fee would be 13 million. *note that I think this is a standard fee structure from Lazard. Technically if Buy Buy Baby sold for more than 2 billion, the company’s fee would then be north of 23 million. It would be in Lazards best interest to sell Buy Buy Baby for more than about $1.5 billion if they sell it as it’s own asset. Photo 3/4: this is nothing new.
